While both documents serve as a contract of carriage and a receipt for goods, the primary difference lies in the mode of transport and the legal "title" to the goods.

Key Differences at a Glance

1. Bill of Lading (B/L)

The Bill of Lading is used for maritime transport. Its most unique characteristic is that it acts as a Document of Title.

  • Ownership: The person holding the original B/L is legally considered the owner of the cargo.
  • Negotiability: A "To Order" B/L can be bought, sold, or traded while the goods are still at sea. This is common in commodity trading.
  • Release of Goods: The carrier will generally not release the container at the destination port unless at least one original B/L is surrendered (or a "Telex Release" is processed).

2. Airway Bill (AWB)

The Airway Bill is used for air transport. Unlike the sea B/L, it is not a document of title.

  • Non-Negotiable: It is issued to a specific consignee. You cannot "trade" an AWB to change ownership during flight.
  • Delivery Speed: Because air freight moves so fast, the AWB travels with the cargo. The goods are delivered directly to the party named in the document once they arrive and clear customs.
  • Purpose: It serves mainly as a receipt for the shipper and a set of instructions for the airline (handling, temperature, etc.).

Comparison of Roles

Contract of Carriage

Both documents outline the terms and conditions under which the carrier agrees to move the goods from Point A to Point B, including liability limits for loss or damage.

Receipt of Goods

Both serve as proof that the carrier has received the shipment in "apparent good order and condition" unless otherwise noted (a "claused" or "dirty" bill).

Handling and Instructions

  • The B/L focuses heavily on container numbers, seal numbers, and port-to-port charges.
  • The AWB includes specific flight numbers and focuses on "chargeable weight" (a calculation comparing actual weight to volumetric weight).
